Roles & Responsibilities
This role will provide secretariat services to the Bank and relevant subsidiaries. The ideal candidate will ensure the delivery of high-quality board and management secretarial services, promote sound corporate governance, and drive compliance with regulatory requirements in alignment with the Bank’s objectives and governance standards.
Summary of Key Responsibilities
Organise and provide secretarial support for Board, Board Committee, Executive, and Management Committee meetings, ensuring accurate documentation and compliance with governance protocols.
Monitor adherence to relevant corporate governance codes, statutory requirements, and regulatory frameworks across the Bank, including the preparation and submission of statutory returns.
Maintain statutory registers and records and ensure the secure custody of original corporate documents for the Bank.
Advise the Board and executive management on corporate governance and company secretarial matters.
Act as liaison for secretarial matters, and coordinate secretarial aspects of audits, regulatory examinations, and strategic retreats.
Requirements
Bachelor of Laws (LL.B) and Barrister at Law (B.L); must be called to the Nigerian Bar.
Relevant professional certifications in corporate governance or company secretarial practice (e.g., ICSAN)
Minimum of 18 years’ post-call experience in legal and company secretarial practice, preferably within the financial services sector
Sound knowledge of the Nigerian banking industry and its regulatory environment
Strong stakeholder management skills
High level of credibility, ethical standards, and personal integrity
