Description 

  • Protect the legal rights and interests of the company to mitigate risk.
  • Advise Management on legal matters relating to corporate and project finance contracts and assist departments in the closure of financial transactions to the best interest of the company.
  • Keep abreast of global and local best practice as it relates to the unit’s activities.
  • Continuously assist in reviewing the legal unit/team’s activities, make recommendations for improvement and implement approved initiatives to ensure enhanced performance of the team.
  • Draft legal guidelines, legal reports, letters, contractual and commercial agreements as well as documents (pleadings, motions, prayer and other ancillary documents in support of a suit instituted at the bestinterestof the company).
  • Assist in identifying required resources, personnel and funding to achieve the legal unit/function’s strategy.
  • Negotiate deals on behalf of the company in line with minerals and mining.
  • Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
  • Design and oversee the company’s policy and position on legal matters.
  • Protect the company against legal risks and violations.
  • Liaise with individual departments and divisions and provide advice on legal issues arising from contracts.
  • Negotiate contractual terms and conditions, review and vet contracts and legal agreements including memoranda of understanding (MoUs) or agreement (MoAs), letters of intent and other related documents.
  • Conduct legal research and proffer opinion on any legal inquiries or issues of a contractual nature arising out of the interpretation and application of contracts and agreements.
  • Ensure that terms and conditions set out in contractual documentation are legally valid, consistent withthe company’s policies, rules and regulations, and are in the organization’s best interest.
  • Ensure the setup and maintenance of a database of all contractual documents and related legal documentation.
  • Ensure safe custody of all tenders, contracts and confidential documents of the company.
  • Assist in implementing the legal unit’s work programmes and plans in line with agreed up on procedures and guidelines.
  • Assist in planning and managing the human and material resources of the unit to optimize performance, morale and enhance productivity.
  • Manage inter-functional relations to ensure synergy across the various departmental functions.
  • Ensure adequate training and development is delivered to employees in the Contract and Tender review and management processes.
  • Monitor and control the budgetary needs of the legal unit/function.
  • Prepare/compile agreed periodic activity and performance reports for the attention of the Head of Legal, Risk and Control department
  • Attend hearings, trials, and mediation as well as file documents with the court as well as attend court proceedings to provide legal support and document proceedings for use in filing appeals.
  • Take and transcribe notes during management meetings.
  • Reviewing contracts, wills, deeds, and other legal documents to ensure they comply with legal requirements
  • Conducting research on legal issues and case law in order to provide advice and recommendations to lawyers or other legal professionals
  • Provide legal advice to companies regarding their legal rights and responsibilities in various situations such as bankruptcies, estate planning, criminal proceedings, and real estate transactions.
  • Reviewing the facts of a case and preparing documentation (such as summonses, subpoenas, motions, and pleadings) for court proceedings.
  • Intimating the company about their case status and next steps in the legal process.

Requirements / Skills / Qualifications

  • Bachelor’s Degree in Law
  • Postgraduate/professional qualification in a related field will be an added advantage.
  • Expertise in employment law and commercial contracts
  • Minimum of one (1) year relevant work experience.
  • Licenced to practice law from the State or National Bar Association
  • Excellent communication skills, both verbally and in writing
  • Outstanding managerial and negotiation skills
  • Highly analytical with strong attention to details
